Welcome to Terrantic. These Terms of Service ("Terms") govern your access to and use of the Terrantic website (terrantic.com) and our SaaS platform and services (collectively, the "Services").
These Terms constitute a legally binding agreement between you ("Customer") and Terrantic, Inc. ("Terrantic"), a Washington corporation with offices at 4111 East Madison Street, Ste. 2, PMB 370, Seattle, WA 98112.
If you do not agree to these Terms, do not access or use our Services.
1. Acceptance of Terms
By accessing or using our Services, creating an account, or clicking "I agree" or a similar button, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In such case, "you" and "your" refer to that entity.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice to active customers.
3. SaaS Services License and Subscription

Subject to your compliance with these Terms and payment of applicable fees, Terrantic grants you a nonexclusive, non-assignable, non-transferable, royalty-free, worldwide right to access and use the SaaS Services solely for your internal business operations during the subscription term.

Terrantic may adjust pricing for subsequent renewal Terms with 60 days notice before the start of the new Term. If you do not agree to the price adjustment, you may terminate the subscription by providing notice before the renewal date.

Terrantic may use aggregated, anonymized data (without personal information) to improve our Services, develop new products, and generate industry insights. We may keep this data for future use.

Terrantic shall have a royalty-free, worldwide, irrevocable, perpetual license to use and incorporate into the SaaS Services any suggestions, enhancement requests, recommendations, business logic, or other feedback provided by Customer or its users.

The terms of these Terms of Service and any Mutual Nondisclosure Agreement between Terrantic and Customer shall govern the handling of confidential information. Both parties agree to:

8. Security and Uptime
The cybersecurity protections, policies, and availability of the SaaS Services are subject to the policies, procedures, and limitations provided by our cloud service provider (Google Cloud Platform).
While we strive to maintain high availability and security standards, the cloud service provider's SaaS Service Agreements constitute Customer's sole remedy for any security breaches or availability issues.
9. Disclaimer of Warranties

THE SAAS SERVICES AND ANY INFORMATION OR MATERIALS PROVIDED BY TERRANTIC ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
Terrantic disclaims all warranties, whether express or implied, including any implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, or NON-INFRINGEMENT, whether arising by a course of dealing, usage, trade practice, or course of performance.
Terrantic does not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- The results obtained from the Services will be accurate, reliable, or meet your requirements
- Any errors or defects in the Services will be corrected
10. Limitation of Liability

EXCEPT FOR damages arising from either party's breach of confidentiality obligations or either party's gross negligence or willful misconduct:
NEITHER PARTY WILL BE LIABLE FOR INCIDENTAL, EXEMPLARY, SPECIAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES (including lost opportunities or profits) arising out of or related to this Agreement, even if the parties have knowledge of the possibility of such damages and whether or not such damages are foreseeable.
IN NO EVENT SHALL TERRANTIC'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO TERRANTIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Either party may terminate for cause by providing 30 days written notice if the other party materially breaches these Terms and fails to cure within the notice period.
